WORKEO TERMS OF USE

INTRODUCTION

These Terms of Use (“Terms”) constitute a legally binding agreement between BloomsCorp (“Company,” “we,” “us,” or “our”) and you, the user of the Workeo platform (“User,” “you,” or “your”). These Terms govern your access to and use of the Workeo website, applications, and services (collectively, the “Platform”).

Workeo is a freelance marketplace that enables individuals to hire freelancers for projects or offer services as freelancers. The Platform allows users to maintain a single account that can function as both a buyer account and a seller account.

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

 

ACCOUNT REGISTRATION

Account Creation

To use the Platform, you must create an account. You must:

  • Be at least 18 years old or the age of legal majority in your jurisdiction, whichever is higher
  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Have the legal capacity to form a binding contract with BloomsCorp

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized use of your account or other security breach

You agree not to share your account credentials with any third party. BloomsCorp is not liable for any loss or damage arising from your failure to comply with these security obligations.

Account Types and Switching

Your single Workeo account enables you to act as both a buyer and a seller of services. You may switch between these roles at any time through your account settings. When operating as a buyer, you are subject to all buyer-specific terms. When operating as a seller, you are subject to all seller-specific terms.

Account Termination

BloomsCorp reserves the right to suspend or terminate your account at any time for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent, abusive, or harmful activity
  • Extended periods of inactivity
  • As required by law or regulation

You may terminate your account at any time by following the account closure procedures in your account settings. Account termination may be subject to the completion of any ongoing transactions or payment obligations.

 

PLATFORM USE

User Rights and Responsibilities

All Users

You agree to:

  • Comply with all applicable laws and regulations
  • Respect the intellectual property rights of others
  • Maintain professional conduct and communication
  • Not use the Platform for any illegal or unauthorized purpose
  • Not attempt to interfere with the proper functioning of the Platform

As a Buyer

When acting as a buyer, you agree to:

  • Provide clear project specifications
  • Communicate promptly with freelancers
  • Review and accept completed work in a timely manner
  • Pay for services as agreed

As a Freelancer

When acting as a freelancer, you agree to:

  • Provide accurate information about your skills and experience
  • Deliver services as agreed in service agreements
  • Communicate promptly with clients
  • Meet agreed-upon deadlines

Prohibited Activities

You must not:

  • Post false, misleading, or deceptive content
  • Harass, abuse, or harm other users
  • Impersonate any person or entity
  • Post content that is illegal, offensive, or inappropriate
  • Attempt to reverse engineer, modify, or create derivative works of the Platform
  • Use the Platform to distribute malware or other harmful code
  • Attempt to gain unauthorized access to other users’ accounts
  • Use the Platform to send unsolicited commercial messages
  • Circumvent or manipulate the fee structure or billing process

Intellectual Property

User Content

You retain ownership of all content you post on the Platform (“User Content”). By posting User Content, you grant BloomsCorp a non-exclusive, worldwide, royalty-free license to use, copy, modify, distribute, publish, and process that User Content for the purpose of operating and improving the Platform.

You represent and warrant that:

  • You own or have the right to post all User Content you post on the Platform
  • Your User Content does not infringe upon the rights of any third party

Platform Content

The Platform, including its design, features, and content provided by BloomsCorp (excluding User Content), is protected by copyright, trademark, and other intellectual property laws. You may not use, copy, modify, or distribute any portion of the Platform except as expressly permitted by these Terms.

Fees and Payments

Service Fees

BloomsCorp charges the following fees:

  • Commission Fee: A percentage of the total transaction amount paid by the freelancer
  • Service Fee: A percentage of the total transaction amount paid by the buyer
  • Additional Fees: Fees for premium services, featured listings, or other optional services

All fees are clearly displayed at the time of transaction. BloomsCorp reserves the right to modify its fee structure with notice to users.

Payment Processing

Payments between buyers and freelancers are processed through the Platform’s payment system. By using the Platform, you authorize BloomsCorp to:

  • Store your payment information
  • Process payments on your behalf
  • Collect applicable fees as outlined above

Taxes

Users are responsible for determining and paying any applicable taxes related to their use of the Platform. Freelancers are responsible for reporting and paying income taxes on earnings from the Platform.

 

SERVICE AGREEMENTS

Contract Formation

Service agreements on Workeo are legally binding contracts between buyers and freelancers. A service agreement is formed when:

  • A buyer sends a project offer to a freelancer
  • The freelancer accepts the offer
  • Both parties agree to the scope of work, timeline, and compensation

Project Management

Both parties must:

  • Communicate through the Platform
  • Document all material changes to the service agreement through the Platform
  • Use the Platform’s tools for delivering and accepting work

Payment Escrow and Release

Escrow System

For project protection, payment is held in escrow by BloomsCorp until the agreed-upon milestones are completed:

  1. The buyer funds the escrow account
  2. The freelancer completes the agreed-upon work
  3. The buyer reviews and accepts the work
  4. Funds are released to the freelancer, minus applicable fees

Payment Release

Payments are released to freelancers when:

  • The buyer accepts the completed work
  • The dispute resolution process determines that payment should be released
  • The buyer fails to respond to a completion notification within the specified timeframe (typically 5 business days)

Dispute Resolution

In the event of a dispute between a buyer and a freelancer:

  1. Parties must first attempt to resolve the dispute directly through the Platform’s messaging system
  2. If direct resolution fails, either party may initiate the Platform’s dispute resolution process
  3. BloomsCorp will review the dispute, including all communications and delivered work
  4. BloomsCorp will make a determination based on the terms of the service agreement, delivered work, and Platform policies
  5. BloomsCorp’s decision regarding the allocation of funds in escrow is final

 

LIABILITY AND DISCLAIMERS

Limitation of Liability

To the maximum extent permitted by law:

  • BloomsCorp shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • BloomsCorp’s total liability for any claim arising from or related to the Platform shall not exceed the amount you paid to BloomsCorp in the six months preceding the claim
  • BloomsCorp is not liable for any loss of profits, data, goodwill, or other intangible losses

Disclaimers

The Platform is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Availability or uninterrupted access
  • Security from viruses or other harmful components
  • Accuracy of content posted by users

BloomsCorp does not guarantee:

  • The quality, safety, or legality of services offered by freelancers
  • The accuracy of freelancer profiles or reviews
  • The completion or quality of work performed by freelancers

Indemnification

You agree to indemnify, defend, and hold harmless BloomsCorp and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any rights of another
  • Your User Content

 

MODIFICATIONS TO TERMS

Changes to Terms

BloomsCorp reserves the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on the Platform
  • Sending an email to the address associated with your account
  • Displaying a notice on the Platform

Continued Use

Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Platform.

Effective Date

These Terms are effective as of the “Last Updated” date at the top of this document and will remain in effect until modified or terminated.

 

GOVERNING LAW

These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the courts of [Jurisdiction], and you consent to the personal jurisdiction of such courts.

DEFINITIONS

“BloomsCorp” refers to the company that owns and operates the Workeo platform.

“Buyer” refers to a User who purchases services from Freelancers through the Platform.

“Freelancer” refers to a User who offers and provides services to Buyers through the Platform.

“Platform” refers to the Workeo website, applications, and services, collectively.

“Service Agreement” refers to the contract formed between a Buyer and a Freelancer for the provision of services.

“User” refers to any individual or entity that accesses or uses the Platform, whether as a Buyer, Freelancer, or both.

“User Content” refers to any information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials that Users post on or through the Platform.
